Board of Directors Meetings: Valid Resolutions and Legal Review



Board of directors meetings need legal review when notice, quorum, voting, or consent defects call a corporate approval into question.

Before your company relies on a disputed resolution, counsel can examine its governing documents, meeting records, and approval requirements. This page addresses New York business corporations, with a focus on identifying procedural defects and assessing corrective options before a transaction proceeds or a dispute escalates.

1. When a Board Resolution Needs Legal Review


A disputed approval can delay financing, a major contract, or a change in company control. Review should establish whether the company has authority to proceed, what objections remain unresolved, and whether another approval is necessary.



Review before Signing or Committing Funds


Missing notice, an excluded director, an uncertain vote count, or incomplete consent can raise questions about authorization. Counsel can examine the resolution and supporting records before the company signs transaction documents or commits funds.

This aspect of corporate governance focuses on the approval itself. The transaction’s commercial terms and other legal requirements still need separate review.



Confirm the Governing Law and Approval Authority


The state of incorporation generally governs a company’s internal affairs, subject to applicable exceptions. Its office address alone does not determine the governing corporate law.

Counsel should confirm whether the decision belongs to the board, a committee, or shareholders and whether contractual consent rights also apply. LLCs and nonprofit corporations require analysis under their own governing statutes.



2. Notice, Quorum, and Voting Requirements

A favorable vote tally does not establish that the board validly approved a decision. The review must address how the meeting was called, whether notice requirements were satisfied, and who participated when the resolution came to a vote.



Match Notice to the Meeting and Bylaws


BCL §711 allows regular meetings without notice when their time and place have been fixed by the bylaws or board, unless the bylaws provide otherwise. Special meetings require notice to directors, and the bylaws may prescribe what constitutes notice.

A signed waiver or attendance without an objection before or at the meeting’s commencement may satisfy the statutory waiver provisions. Approval by shareholders does not automatically cure a defect in board notice.



Calculate Quorum and Votes Separately


Under BCL §707, a majority of the entire board generally constitutes a quorum. Permitted governing-document provisions may change that threshold, but a reduced quorum cannot fall below one-third of the entire board.

BCL §708 generally requires a majority vote of directors present at the time of voting, with a quorum present. Other statutory or governing-document requirements may demand more.

A director’s departure before voting can change the result. Minutes should distinguish opening attendance from participation in each vote.



3. Remote Meetings and Written Consent


Remote attendance and action without a meeting follow different rules. The company should select a permitted approval method before circulating documents or gathering responses from directors.



Confirm Simultaneous Participation


BCL §708 permits telephone or similar participation when everyone can hear one another simultaneously, unless the certificate or bylaws restrict it. Qualifying participation counts as presence at the meeting.

Record attendance and any connection failure affecting deliberations or voting. An exchange of messages over several hours does not become a live meeting simply because every director received them.



Obtain Consent from Every Required Member


Action without a meeting generally requires all board or committee members to consent to the resolution, subject to governing-document restrictions. File the resolution and consents with the board or committee records.

Electronic consent requires information reasonably establishing that the director authorized the transmission. Silence or a majority email response does not establish unanimous consent.



4. Conflicts, Records, and Corrective Action


A procedurally sound vote does not resolve every concern about the underlying transaction. Review should address director interests, the decision-making record, and any defect that could affect the company’s authority to act.



Evaluate Interested Director Transactions


BCL §713 provides approval pathways involving disclosure and disinterested director or shareholder approval. Interested directors may count toward quorum, so quorum participation and the votes needed for approval require separate calculations.

A conflict alone does not automatically invalidate a transaction. Statutory approval conditions, fairness, and additional restrictions in the certificate of incorporation may affect the analysis.



Preserve Records without Reconstructing Events


Minutes should accurately record attendance, materials considered, disclosures, votes, and objections. They should not invent deliberations or suggest that a later approval occurred earlier.

If a defect emerges, counsel can assess whether a new meeting, properly executed consent, or another legally available corrective step is appropriate. Anticipated shareholder disputes also call for preservation of relevant communications and document versions.



Review Privilege and Dispute Exposure


Counsel’s attendance does not make every discussion or set of minutes privileged. The purpose, content, confidentiality, and recipients of a communication matter.

If a demand or lawsuit challenges the approval, corporate litigation counsel can assess the company’s response, available defenses, and any request to stop implementation.

Does an Urgent Deadline Excuse Meeting Formalities?


Urgency alone does not remove notice, quorum, or approval requirements. Counsel can identify a permitted meeting or consent procedure within the available time.



Does Approving the Minutes Approve the Transaction Again?


Not necessarily. Confirming an accurate record and authorizing a transaction serve different purposes. Any intended new authorization should be explicit and satisfy the applicable approval requirements.
